Insider buying is slowing to a snail delivering bad news pace, at least according to how iStock measure it. Executives and directors filed purchase records at just 93 publicly traded companies.

The fall off matches the dip in consumer confidence reported by the University of Michigan survey reported last week. �Hopefully, a couple of green days from the stock market and the first quarter's earnings results will cheer things up in boardrooms and living rooms in the weeks to come.

Sysco is buying privately held US Foods for about $3.5 billion in cash and stock. When the deal closes, Sysco expects the addition of US Foods to boost its annual sales by about 46 percent to around $65 billion. Sysco shares jumped as much as 26 percent Monday, setting an all-time high. Houston's Sysco will pay $3 billion in common stock and $500 million in cash. It will also assume or refinance about $4.7 billion in debt. That puts the total value of the deal at about $8.2 billion. Sysco President and CEO Bill DeLaney said that the two companies have highly complementary core strengths including large product portfolios. For the fiscal year that ended in June, Sysco's sales totaled $44.41 billion. It trucks food and cooking supplies to about 425,000 customers through 193 locations in the U.S., Bahamas, Canada, Ireland and Northern Ireland. US Foods' customers include independent and chain restaurants, health care and hospitality companies, and government and educational institutions. Major stakeholders in the company, based just outside of Chicago, in Rosemont, Ill., include Clayton, Dubilier & Rice and Kohlberg Kravis Roberts & Co. Representatives from both of those investment firms will join Sysco's board. When the deal closes, US Foods shareholders will own about 87 million shares, or about 13 percent, of Sysco's common stock. The buyout has been approved by the boards of both companies. Sysco said it expects the deal, which is set to close in the third calendar quarter of 2014, to immediately boost its profit after adjusting for acquisition-related costs and expenses.     Campbell Soup Co (NYSE: CPB) reported a 71% gain in its fiscal second-quarter profit. Campbell's quarterly earnings surged to $325 million, or $1.03 per share, versus $190 million, or $0.60 per share, in the year-ago quarter. Excluding special costs, it earned $1.04 per share. Its sales climbed 5.5% to $2.28 billion. However, analysts were projecting earnings of $0.73 per share on revenue of $2.27 billion.

His investment firm, Trian Fund Management, is a major shareholder in PepsiCo (PEP), which owns both of those brands, and he's pushing for it to separate its beverage business from its snack foods. The proposal cuts at the foundation of PepsiCo's business strategy, which revolves around the perceived synergies between its liquid offerings and its foodstuffs. Not surprisingly, the company has been swift to reject Peltz's idea in the strongest possible terms. But before we toss it out with the recycling, let's take a look to see if the proposal could be beneficial, or if it's really just so much flat soda. On its website, PepsiCo's lineup of products appears under the category "Brands You Love." Indeed, you'd be hard-pressed to fine someone who isn't a fan of at least one -- Pepsi, Tropicana, Lipton, Quaker Oats, Doritos, Fritos, Lay's and Ruffles, among many others. Synergy Among a Portfolio of Lovable Brands But Peltz argues the familiarity and renown of those products has not translated into meaningful returns lately. In a letter Trian sent PepsiCo, it said that under the reign of current CEO Indra Nooyi, the firm's growth in earnings per share "has significantly trailed that of peers." Trian argues that separating the two businesses would eliminate the overhead that comes from a sprawling corporate structure, and make each of the resultant companies leaner and more "entrepreneurial." A glance at recent history seems to indicate otherwise. Look at the arc of a recent snack food divorcee, Mondelez International (MDLZ). The company, which divested itself of what is now Kraft Foods Group (KRFT) in October 2012, saw fourth-quarter 2013 revenues of just under $9.5 billion. How Do You Know When to Sell a Stock?

Someone who reads my articles asked me this question:

Your latest piece on coming up with an intrinsic value is interesting. Just out of curiosity, what methodology do you yourself use in terms of selling? I too look for things that are worth more than they are selling for without necessarily coming up with a hard IV figure.

But to some extent if you don't know where you're going any road will take you there. So obviously there needs to be some idea of how much is enough. Just curious what you do.

Unlike a lot of people, I don't set a price where I "will", "must", or "should" sell a stock. I look at the problem differently. I figure the more common problem isn't holding a stock too long. It's not holding a stock long enough. So, I set a price where I'm "allowed" to sell the stock.

The price I set depends on the stock. For different kinds of stocks, I set different kinds of allowable sale prices.

Here's an example. I won't use the stock's name. It's not really relevant. Just the company's earnings and net cash are.

10-year average operating margin: 23%

Sales Per Share: $1.76

Net Cash Per Share: $4.73

Here I'll just multiply sales per share times the 10-year average operating margin to get about 40 cents of average pre-tax earnings ($1.76 * 0.23 = $0.40). This matches up pretty well to what the company actually achieved over the last 10 to 15 years. So, we'll use that as the operating business's normal earnings. 40 cents before taxes is about 25 cents after taxes. If we assume a 10 times after-tax earnings multiple for that kind of business (my judgment is that this is a high quality, no-growth business) we get a value of $2.50 for the operating business. The company has $4.73 in net cash. So, $4.73 plus $2.50 equals $7.23 a share. Let's round that off and call it $7.25. I would allow myself to sell the stock at $7.25 a share.

Now, I'd look at the high end for the bu! siness. Here, if it's not a growth company it really shouldn't ever be worth more than 15 times earnings (in my view). So, that's $0.25 times 15 equals $3.75 a share for the operating business. Then we add the same $4.73 a share in cash and we get $8.48 a share. Which we'll call $8.50 a share.

That's where I'd allow myself to sell the stock. Below $7.25, I need to have found a much, much better stock to warrant selling this one. And above $8.50 a share, I need to have some added justification for holding the stock. Probably the only reason here would be that I misjudged the company's normal earnings and growth prospects. So, for example, if they start reporting much higher operating earnings than 40 cents a share I should at least look at the possibility I've misjudged either average earnings or growth. Although if this is a strong time in the cycle for this kind of business, I won't pay much attention to earnings increases. If it's a lousy time for a business in this industry and yet they are reporting better earnings than I ever thought possible – then I'd need to rethink my analysis.

The other factor would be growth. If I judged this stock to be an absolutely zero growth business and they are suddenly growing sales, earnings, etc. at a faster than nominal GDP clip for a few years in a row – I would need to reassess that idea. This wouldn't affect the top end of my sales range though. I'm not a big believer in paying up for growth. I like getting growth for free. I'd rather pay for current assets, preset day earnings, consistency in sales/earnings, and a "wide moat" rather than say a great organization that will find wonderful sales opportunities to exploit in the future. That's great. But it's not what I'm best at judging. So, in this case, all that would happen if I really bought into the idea of this as a true "growth stock" is that I'd shrink the allowable sales range in my mind. I'd still be thinking I should sell above $8.50. But ! I'd sta! rt to wonder if maybe I shouldn't sell between $7.25 and $8.50.

Where I'm willing to sell always shifts depending on the underlying numbers. So, for a net cash company – or at least a company that traded below net cash when I bought it – the numbers that matter are what net cash per share is today and what I think normal operating earnings are.

Sure, there are tons of other issues that go into valuing the stock. For example: will the stock/bond portfolio that makes up this net cash grow or shrink? What's the chance they'll make some stupid acquisition? And so on. But I don't believe in incorporating that mathematically into an intrinsic value estimate. Instead, I think you consider that before you buy the stock. And you do it more qualitatively than quantitatively.

So, I really only think in terms of a numerical intrinsic value when I'm asking myself: "is there still enough upside left in this stock?". Before I buy, I look at intrinsic value when I know I like the company a lot. I'm comfortable with the current assets. I think the company's got pricing power. Whatever. Then I have to ask myself how does this stock compare in terms of possible future returns to the stock I already own and the other stocks I might soon buy. That's when I look at intrinsic value. When I need to compare alternatives.

It's the same thing with selling. I almost never sell because of a price to intrinsic value comparison alone. I either sell because I change my mind about the company or I want to buy something else. When it comes to changing my mind about the company, if it's an issue of safety – I just go ahead and sell regardless of price. If I've come to doubt the stock's safety I bail out immediately. But if it's a change in my perception of the growth potential of the company and maybe to some extent its quality – although often business quality falls under the heading of safety – then I consult my intrinsic value estimate.

So, I view the intri! nsic valu! e "band" as being a range where I'm allowed to sell if I'm so inclined. And, in fact, the band can be very, very wide depending on what alternative I'm looking at. So, for the example of a company with $4.73 in net cash and an estimated operating business value of anywhere from let's say $2.50 a share to $4 a share – I might have a range that looked like this:

Less than $4.75: Can't sell for any reason.

$4.75 to $7.25: Can sell if I've found something much, much better

$7.25 to $8.50: Can sell if I'm so inclined

Over $8.50: Should consider selling

This makes the process sound more complicated than it is. Basically, if this particular stock were over $8.50 a share – I'd know it would probably be at the top of my portfolio in terms of a good stock to sell when I wanted cash. And when it's under $4.75 a share – I know it's really unsellable. After all, it's a profitable business trading below cash. If you're willing to sell those, what aren't you willing to sell?

Then, probably any new idea I liked a lot could justify selling in the $7.25 to $8.50 range. Once the stock was over its net cash plus 10 times earnings value, it's a possible sell for me if I've got something better planned for the cash. And then between net cash and net cash plus 10 times earnings I'd be open to selling the stock if there was absolutely nothing else I could sell.

I'd be inclined to say this stock should be near the bottom of my possible sales pile. But I suppose it's possible I could have a lot of good ideas all at once – maybe the market is crashing or something – and as long as it was above net cash at the time I sold it, I could forgive myself for selling. But I can't really defend selling a profitable company for less than net cash – especially since it's a company I'm familiar with. There should always be an extra margin of safety in switching from the horse you know to the horse you've just met. You should always ! err on th! e side of the familiar friend.

But now we see how hard it is to talk about intrinsic values and sell prices. Obviously, even in the case I just described, the values move. In this case, it's the net cash that keeps changing – mostly to the upside over time. Likewise, if I bought a stock because I thought it was worth book value and then book value increased over the years my "sale allowed" window would shift upwards with the stock.

I try not to get fixated on a number. And never on a level of return. I don't – for instance sell a stock because it's up 30% or 130%. That doesn't matter to me. Depending on the stock, I could set an amount like 10 to 15 times the 3-year average free cash flow. Say I owned a stock like Omnicom (OMC) or Dun & Bradstreet (DNB). Those are companies I expect to earn the same or more in the future – rarely less. I'd probably use a price to free cash flow ratio for those guys. I don't – and a lot of people disagree with me on this one – think that enterprise value is necessarily super important at a company like OMC or DNB. Especially DNB. Because if you buy DNB, you are buying it with certain ideas in mind about capital allocation not because of its value to a private owner. So, I tend to think of stocks like OMC, DNB, etc. more like bonds with an initial return and a growth rate.

The initial return – let's call that the free cash flow yield – is kind of like my yield. And the growth rate is really a quality indicator for me. In stocks like that, I would have trouble convincing myself it was okay to sell the stock at a free cash flow yield over 10% and I'd have a hard time convincing myself the stock should really be held even when it had a free cash flow yield of less than 5%. So, let's call that a "sale allowed" window of 10 to 20 times free cash flow.

I've owned other things that were different. I owned an insurance company and valued it on its tangible book value. I was willing to sell that stock in the ! 1 to 1.25! times tangible book range. I was totally unwilling to sell at below 0.8 times tangible book. In the 0.8 to 1 times book value range, I could probably be convinced to sell if I found something absolutely wonderful to buy.

From day-to-day these values don't change much. I usually check in with the numbers that go into my thinking – tangible book, net cash, etc. – only when a company files its 10-Q. And with many of the companies I own the changes from quarter to quarter are small.

What ends up happening is more of an informal ranking of what I own. I know what is in the "I'll never sell" range and what is in the "I should think about selling this range". And I have some idea of what stocks are approaching either bound of that range. As a result, I don't usually – day to day – have to think about the intrinsic value of a specific stock I own. Instead I just know there are a couple stocks I'd sell before selling that one. Or that it's the first stock I'd sell if I had to sell something. I try to always know that order. If you asked me now which stock I'd sell if I had to pick one – I know which one that is. The one stock I'd never sell is often a little harder to know. Sometimes I think there are a couple stocks I'd never sell but then some wonderful new idea comes along and really tests my resolve.

I'm not sure if any of that is useful. But that's the way I think about selling. Again, all this comes with the caveat that I sell without regard to price when I think something I once believed safe is now risky. That's the one unbreakable rule I have when it comes to selling a stock. If I misjudged a stock's safety – I sell.

All the other rules are bendable.

10 Best Defense Stocks To Buy For 2014

The Department of Defense awarded 10 defense contracts Monday, totaling a nice, round $1 billion in combined value. One company, however, reaped nearly 65% of the available funds -- in one fell swoop.

That company was United Technologies (NYSE: UTX  ) , whose Pratt & Whitney subsidiary snagged a $648.8 million contract, modifying a previously awarded cost-plus-incentive-fee contract related to the production of F135 jet engines for Lockheed Martin's (NYSE: LMT  ) F-35 Lightning II Joint Strike Fighter. Monday's award extends the period for performing technical baseline review design, verification, validation, and qualification work on the new engine. The awarded funds will also pay for the production of two spare flight test engines and associated spare parts.

Although part of the work on this contract is expected to be performed in the U.K., this is not considered a "foreign military sale" contract. Rather, the engine work is being done to benefit the U.S. Navy's Naval Air Systems Command, Patuxent. The additional work should be completed by December 2016.

Erickson Air-Crane Incorporated (Erickson) is engaged in the operation and manufacture of the Erickson S-64 Aircrane (Aircrane), a heavy-lift helicopter. The Company operates in two segments: Aerial Services and Manufacturing / MRO. Aerial Services offers a range of heavy-lift helicopter services through the Company's worldwide fleet, including firefighting, timber harvesting, infrastructure construction, and crewing services. Manufacturing / MRO manufactures Aircranes from existing airframes, manufactures new components on a contract basis, and provides customers with Federal Aviation Administration and European Aviation Safety Agency certified maintenance, and MRO services in the Company's AS9100 certified facility. In October 2012, the Company purchased the Sun Bird Aircraft and associated spare parts inventory and accessories from San Diego Gas & Electric Company. In May 2013, Erickson Air-Crane Inc acquired the entire share capital of Evergreen Helicopters Inc. In September 2013, Erickson Air-Crane Incorporated announced the completion of its acquisition of Air Amazonia Servicos Aeronauticos Ltda and certain related assets from HRT Participacoes em Petroleo S.A.

In February 2012, its Malaysian subsidiary, Erickson Aircrane Malaysia Sdn. Bhd., entered into an amendment to its existing logging contract with Syarikat Samling Timber Sdn. Bhd. (Samling Global) to extend the contract term to January 31, 2013. Pursuant to the amended contract, it began providing aerial timber harvesting services in Malaysia on February 1, 2012 to Samling Global. In January 2012, its Canadian subsidiary, Canadian Air-Crane Limited, amended its existing agreement with Western Forest Products Inc. (Western Forest Products), a Canadian forest products and timberlands management company, to establish the terms for one year of aviation services.

The Company offers a full spectrum of heavy-lift helicopter solutions, including the design, engineering, development, manufacturing, and testing of the Airc! rane, as well as Aerial Services and MRO services. It has production, maintenance, and logistics facilities in Central Point, Oregon. It maintains a year-round international presence with operations in Canada, Italy, Malaysia, and Peru, and an operating presence in Australia and Greece.

It owns the Type and Production Certificates for the Aircrane, granting us exclusive design, manufacturing, and related rights for the aircraft and original equipment manufacturer (OEM) components. It has made more than 350 design improvements to the Aircrane since acquiring the Type Certificate and it has developed Aircrane accessories that enhance its aerial operations, such as its firefighting tank system and snorkel, timber heli harvester, and anti-rotation device and hoist.

Aerial Services

The Aircrane has a lift capacity of up to 25,000 pounds and is a commercial aircraft built specifically as a flying crane without a fuselage for internal loads. The Aircrane is also a commercial heavy-lift helicopter with a rear load-facing cockpit, combining an unobstructed view and complete aircraft control for precision lift and load placement capabilities. It owns and operates a fleet of 17 Aircranes, which it uses to support a variety of government and commercial customers worldwide across a range of aerial services, including firefighting, timber harvesting, infrastructure construction, and crewing. The Aircrane is capable of providing heavy-lift solutions to a wide variety of industries, including firefighting, timber harvesting, infrastructure construction, oil and gas and energy related construction, disaster recovery, and emergency response. It leases its aircraft to customers for specific missions, with customers generally paying for the aircraft, maintenance, and crewing services, as well as fuel expense. In addition, it provides crewing for aircraft it has sold. Its Aircrane accessories include Fire Tank and Pond Snorkel, Fire Tank and Sea Snorkel, Foam Cannon, Hydromulch Loading Manifo! ld, Heli ! Harvester, Hydraulic Grapple, Long-Line Shock and Pendant, Anti-Rotation Device and Hoist and Material Transport Bucket.

The Aircrane Helitanker has provided firefighting services in the United States, Canada, Mexico, Italy, Greece, France, Turkey, and Australia. Its firefighting customers include federal, state, local, and international government agencies who hire the Company to be available as needed. Under its firefighting contracts, aircraft are deployed to locations prone to seasonal fires and remain on standby throughout the fire season. For these contracts, which it refers to as exclusive-use contracts, it typically charge on a per-day basis for availability and on a per-hour basis for actual aircraft use.

Aircrane is engaged in timber operations in a number of regions, including the United States, Canada, and the tropical forests in Malaysia. Its customers uses its harvesting solutions primarily for timber, such as tropical hardwoods and for remote area harvesting in locations that would otherwise require road construction or prohibit ground-based harvesting. Timber is vertically lifted and transported with its hydraulic grapple.

The Aircrane's rear load-facing pilot seat makes the aircraft particularly for infrastructure projects that require extreme precision in load delivery, such as electricity transmission and broadcasting towers, oil and gas pipelines, wind turbines, mining conveying systems, industrial equipment, emergency shelters, and ski-lift equipment. The Aircrane can be configured to transport heavy machinery and equipment, such as heating, ventilating, and air conditioning (HVAC) units, automotive equipment, and other cargo items.

Aircraft Manufacturing and Maintenance, Repair, and Overhaul (Manufacturing/MRO)

The Company manufactures Aircranes and related components for sale to government and commercial customers and provide aftermarket support and maintenance, repair, and overhaul services for the Aircrane and oth! er aircra! ft. It also offers cost per hour (CPH) contracts pursuant to which it provides components and expendable supplies for a customer's aircraft at a fixed cost per flight hour. Through its Manufacturing / MRO segment it manufactures Aircranes from existing airframes, manufacture components on a contract basis, and provide customers with FAA- and European Aviation Safety Agency-certified MRO services

The Company has manufactured a total of 33 Aircranes for its own use and for sale to customers, and has sold one for domestic construction operations and eight for international firefighting operations. It also builds and manufactures Aircranes for its own use and owns, operates, and maintains 17 Aircranes. As the owner of the S-64 Type and Production Certificates, it also has the authority and ability to manufacture an Aircrane entirely from new parts. It manufactures aluminum main and tail rotor blades and have partnered with OEMs to design and manufacture composite main rotor blades. While it provides MRO services to its own Aircranes, it continues to provide parts and maintenance and overhaul services to every Aircrane it has sold. It also performs similar operations on engines and other components for owners of other aircraft platforms. Its FAA-certificated repair station offers an array of services from small repairs to extensive heavy airframe maintenance.

It provides small parcel services for packages of all sizes. Using its EchoPak technology, it delivers cost saving opportunities to its clients. Inter-modal transportation is the shipping of freight by multiple modes, using a container that is transferred between ships, railcars or trucks. It offers inter-modal transportation services for its clients, which utilizes both trucks and rail. The Company provides domestic air and expedited shipment services for its clients when traditional LTL services do not meet delivery requirements. It uses ETM track and trace tools for up to date information to its clients through EchoTrak. The Company provides air and ocean transportation services for its clients, offering a comprehensive international delivery option to its clients.

Logistics Services

In addition to arranging for transportation, the Company provides logistics services, either on-site (in the case of some enterprise clients) or off-site, to manage the flow of those goods from origin to destination. Its core logistics services include rate negotiation; procure ment of transportation, both co! ntractual! ly and in the spot market; shipment execution and tracking; carrier management, reporting and compliance; executive dashboard presentations and detailed shipment reports; freight bill audit and payment; claims processing and service refund management; design and management of inbound client freight programs; individually configured Web portals and self-service data warehouses; enterprise resource planning (ERP) integration with transactional shipment data, and integration of shipping applications into client e-commerce sites. Customers communicate their freight needs, typically on a shipment-by-shipment basis, to the individual or team responsible for their account. Customers communicate with it by means of telephone, fax, Internet, e-mail, or Electronic Data Interchange (EDI).

Technology Platform

The Companys ETM technology platform allows it to analyze its clients' transportation requirements and provide customized shipping recommendations. It collects and store pricing and market capacity data in its ETM database from each interaction with carriers, and its database expands as a result of these interactions. It has also developed data acquisition tools, which retrieve information from both private and public transportation databases, including subscription-based sources and public transportation rate boards, and incorporate that information into the ETM database. Its clients communicate their transportation needs to it electronically through its EchoTrak web portal, other computer protocols, or by phone. ETM generates pricing and carrier information for its clients by accessing pre-negotiated rates with preferred carriers or using present or historical pricing and capacity information contained in its database. If a client enters its own shipment, ETM automatically alerts the appropriate account executive. After the carrier is selected, either by it or the client, its accou nt executives use its ETM technology platform to manage all aspects of the shipping process.

Th! e Companys FastLane is an Internet-based Web portal, which allows its carriers to view shipments available for tender, update equipment availability and preferred lanes, check on the status of all unpaid invoices, unbilled shipments, shipments in transit and other information used to resolve any billing discrepancies. There is also a mobile FastLane application, which allows carriers to view similar information remotely. eConnect is a set of tools, which allows the Companys clients and carriers to interact directly with ETM electronically through any of several computer protocols, including EDI, extensible markup language (XML) and file transfer protocol (FTP). The eConnect tools serve as an electronic bridge between the other elements of its ETM technology platform and its clients' enterprise resource planning (ERP), billing, accounts receivable, accounts payabl e, order management, back office and e-commerce systems. Through eConnect, its clients are able to request shipping services and receive financial and tracking data using their existing systems.

EchoTrak is an Internet-based Web portal, which connects and integrates its clients with ETM. By entering a username and password, its clients are able to enter orders, display historical and active shipments in the ETM system using configurable data entry screens sorted by carrier, price, delivery date, destination and other relevant specifications. EchoTrak also generates automatic alerts to ensure that shipments are moving in accordance with the client specifications and timeline. There is also a mobile EchoTrak application, which allows customers to perform similar functions remotely. RateIQ2.0 is a pricing engine, which manages LTL tariffs and generates rate quotes and transit times for LTL shipments. RateIQ2.0 also provides integrated tools to manage dispatch, comm unications, data collection and management functions relating to LTL shipments. LaneIQ is a pricing engine, which generates rate quotes for TL shipments. LaneIQ also prov! ides inte! grated tools to manage dispatch, communications, headhaul and backhaul data collection and management functions relating to TL shipments. EchoPak is a small parcel pricing and audit engine. For each small parcel shipped, EchoPak audits carrier compliance with on-time delivery requirements and pricing tariffs. In addition, EchoPak tracks information for each parcel and is able to aggregate and analyze that data for clients. For instance, clients are able to view shipments by date, business unit, product line and location, and clients can access information regarding service levels and pricing.

The Companys Shipment Tracking stores shipment information en-route and after final delivery. The shipment data is acquired through its carrier EDI integration, allowing its clients to track the location and status of all shipments on one screen, regardless of mode or carrier. Final delivery information is permanently archived, allowing it to provide its clients with carrier performance reporting by comparing actual delivery times with the published transit time standards.

Document Imaging allows the Company to store digital images of all shipping documents, including bills of lading and delivery receipts. CAS (Cost Allocation System) automatically audits carrier invoices against its rating engine and accounts payable accrual system. If the amounts match, the invoice is automatically released for payment. If the amounts do not match, the invoice is sent to various administrative personnel for manual processing and resolution. CAS also integrates to its general ledger, accounts receivable and accounts payable systems. Accounting includes its general ledger, accounts receivable and accounts payable functions. Accounting is integrated with CAS and EchoIQ. EchoIQ stores internally and externally generated data to support its reporting and analytic functions and integrate all of its core applications with ETM. ETM supports its logistics services, which it provides to its clients as part of ! its value! proposition. Its ETM technology platform is able to track individual shipments and provide customized data and reports throughout the lifecycle of the shipment, allowing it to manage the entire shipping process for its clients. It also market Flex TMS.
